These Terms of Use (“Terms”) govern your access to and use of the websites, software applications, platforms, and application programming interfaces offered by Trestle Labs Private Limited (“Trestle Labs,” “we,” “us,” “our”). By accessing or using the Services (defined below), you agree to be bound by these Terms.
If you do not agree, do not access or use the Services. If you are using the Services on behalf of an entity (such as a company, government department, institution, or organization), you represent that you have authority to bind that entity, and “you” refers to that entity.
These Terms constitute an electronic record under applicable Indian law and do not require physical or digital signatures.
1. Definitions
“Services” means our websites and product-related software and tools, including but not limited to:
(a) Kibo XS Kit related software/web services,
(b) Kibo 360 Kit related software/web services,
(c) Kibo 2.0 Kit related software/web services,
(d) Kibo AI APIs and related developer resources, dashboards, and documentation,
(e) any trial, demo, or evaluation environment we provide, and
(f) any updates, upgrades, or modifications to the foregoing.
“Customer Content” means any documents, images, PDFs, scans, text, metadata, or other materials submitted to the Services by you or on your behalf.
“Output” means extracted text, translated content, digitized output, structured data, searchable PDFs, or any other results produced by the Services from Customer Content.
“Documentation” means our user guides, API documentation, instructions, specifications, and materials we provide for the Services.
2. Scope; Relationship to Other Agreements
2.1 Website Terms vs. Contractual Terms. These Terms apply to your use of the Services generally. If you have signed a separate agreement with Trestle Labs (e.g., a Master Services Agreement, Software License Agreement, API Agreement, Statement of Work, DPA, or SLA) (“Customer Agreement”), then the Customer Agreement will control to the extent it conflicts with these Terms for the contracted Services.
2.2 No Purchase Commitment. Product descriptions and information on the website are provided for general information and do not constitute a binding offer. Commercial terms (pricing, SLAs, acceptance criteria, support, uptime, and accuracy commitments) apply only if agreed in writing.
3. Eligibility and Authorized Users
3.1 You must be legally capable of entering into a binding contract under applicable law to use the Services.
3.2 If you create an account or use credentials, you must ensure that only authorized personnel use your account and that all users comply with these Terms.
4. Accounts, Access, and Security
4.1 Account Registration. Certain features may require account creation. You agree to provide accurate information and keep it updated.
4.2 Credential Security. You are responsible for maintaining confidentiality of login credentials, API keys, and tokens, and for all activities that occur under your account.
4.3 Notification. You must promptly notify us of unauthorized use or suspected security incidents affecting your account or API credentials.
4.4 Access Suspension. We may suspend or restrict access to the Services if we reasonably believe there is: (a) unauthorized access; (b) security risk; (c) abuse; (d) violation of these Terms; or (e) legal requirement to do so.
5. License and Permitted Use
5.1 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Documentation for your internal business purposes.
5.2 API Use. If you use Kibo AI APIs, you agree to use them only through documented endpoints and authentication mechanisms. You will not share, sell, sublicense, or otherwise make API keys available to unauthorized parties.
5.3 Evaluation/Trial Use. If you use a trial or demo environment, you agree to use it only for evaluation purposes and understand that trial features may be limited, changed, or discontinued.
6. Acceptable Use and Restrictions
You agree you will not, and will not allow anyone else to:
6.1 Unlawful Use. Use the Services for illegal activities or in violation of applicable laws, regulations, or third-party rights.
6.2 Security Abuse. Attempt to gain unauthorized access, bypass authentication, probe, scan, or test vulnerabilities, or interfere with security-related features.
6.3 Interference. Interfere with or disrupt the Services, networks, or systems, including by introducing malware, bots, worms, spyware, or harmful code.
6.4 Scraping/Harvesting. Use automated means to scrape, crawl, or harvest content or data from the Services unless expressly permitted in writing.
6.5 Reverse Engineering. Reverse engineer, decompile, disassemble, or attempt to discover source code, models, or underlying components of the Services, except to the extent prohibited by law from being restricted.
6.6 Model/Output Abuse. Use the Services to generate or extract sensitive data in a manner that violates applicable privacy/data-protection laws or your obligations to data subjects, your customers, or regulators.
6.7 Misrepresentation. Misrepresent affiliation with Trestle Labs or misuse our trademarks.
7. Customer Content, Output, and Your Responsibilities
7.1 Your Content. You retain ownership of Customer Content. You represent and warrant that you have all necessary rights and lawful basis to submit Customer Content to the Services and to receive the Output.
7.2 Permitted Processing. You authorize us to process Customer Content solely to provide the Services, generate Output, and operate and maintain the Services, subject to our Privacy Policy and any applicable Customer Agreement.
7.3 Responsibility for Use of Output. You are responsible for verifying Output before using it for decision-making.
7.4 No Sensitive Uploads in Public Trials. Unless expressly agreed in writing, you will not upload sensitive personal data into any public demo/trial environment.
8. AI/ML-Specific Disclosures
8.1 Probabilistic Nature. The Services may use AI/ML and can produce results that are incomplete, inaccurate, or inconsistent. Output is generated based on input quality, language, handwriting/print variations, layout, and other factors.
8.2 No Professional Advice. Output is not legal, medical, financial, or professional advice and should not be relied upon as such.
8.3 Human Review Recommended. You should implement appropriate human review, exception handling, and quality assurance processes suitable for your use case and risk profile.
9. Data Protection and Privacy
9.1 Privacy Policy. Our collection and use of personal data through the Services is described in our Privacy Policy.
9.2 Customer Obligations. You are responsible for compliance with applicable data protection laws, and for providing necessary notices and obtaining consents/lawful basis to process personal data.
9.3 No Training on Customer Content (unless agreed). Unless otherwise agreed in a Customer Agreement, we do not use Customer Content to train generalized models.
10. Intellectual Property
10.1 Our IP. The Services, Documentation, software, workflow designs, algorithms, models, trademarks, and all related intellectual property are owned by Trestle Labs and/or its licensors.
10.2 Trademarks. “Trestle Labs”, “Kibo”, and related logos are trademarks of Trestle Labs. You may not use them without our prior written consent.
10.3 Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate it without obligation to you.
11. Third-Party Services
The Services may integrate with or link to third-party services. We do not control third-party services and are not responsible for their availability, security, or content. Your use of third-party services is governed by their terms.
12. Service Changes, Availability, and Support
12.1 Changes. We may update, modify, or discontinue parts of the Services, including features, models, or endpoints. We will use commercially reasonable efforts to provide notice for material changes, where feasible.
12.2 No SLA by Default. Unless a Customer Agreement includes an SLA, we do not guarantee uptime, latency, or availability.
12.3 Maintenance. The Services may be interrupted for maintenance, upgrades, or emergency fixes.
12.4 Discontinuation of Services. Trestle Labs reserves the right, in its sole discretion, to suspend, modify, or discontinue any part of the Services, whether temporarily or permanently, at any time and for any reason. Except where expressly agreed otherwise in a separate written agreement executed between you and Trestle Labs, such suspension, modification,or discontinuation shall not give rise to any liability on the part of Trestle Labs, including without limitation any obligation to provide refunds, credits, compensation, service continuity, data migration assistance, operational support, or paybacks of any kind.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Services and Output are provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
14. Limitation of Liability
To the maximum extent permitted by law:
14.1 No Indirect Damages.
Trestle Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or related to your use of the Services.
14.2 Liability Cap. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts paid by you to Trestle Labs for the specific Services giving rise to the claim in the twelve (12) months preceding the event, or INR 10,000, whichever is higher, unless a Customer Agreement states otherwise.
14.3 Basis of Bargain. You acknowledge that these limitations reflect risk allocation and are an essential basis of the agreement.
15. Indemnification
You agree to defend, indemnify, and hold harmless Trestle Labs and its directors, officers, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:
(a) your use of the Services in violation of these Terms;
(b) your Customer Content;
(c) your violation of applicable laws or third-party rights; or
(d) misuse of Output in a way that causes harm or regulatory breach.
16. Termination
16.1 By You. You may stop using the Services at anytime.
16.2 By Us. We may suspend or terminate your access to the Services if you violate these Terms or if required by law, or if your use creates security/legal risk.
16.3 Effect of Termination. Upon termination, all licenses granted to you cease. Sections that by their nature should survive (including IP, disclaimers, limitations of liability, indemnity, governing law) will survive.
17. Time Limitation on Claims
Any claim arising out of or related to these Terms must be brought to notice within six (6) months after the cause of action arises, otherwise it is permanently barred, to the extent permitted by law.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to applicable law, courts in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising from these Terms.
19. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on our website with a revised “Last Updated” date. Your continued use of the Services after such an update constitutes acceptance of the updated Terms.
20. Miscellaneous
20.1 Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
20.2 No Waiver. Failure to enforce a provision is not a waiver.
20.3 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
20.4 Entire Agreement. These Terms (and any referenced policies) constitute the entire agreement regarding use of the Services unless replaced or supplemented by a Customer Agreement.
